Welcome to TaxClvr (“we”, “us”, or “our”), a trading name of WebClvr Limited (Company No. 15227073), registered in England & Wales. By using our website and software-as-a-service platform (the “Services”), you agree to these Terms of Service (the “Terms”).

Please read these Terms carefully. If you do not agree, you must not use the Services.

Important: TaxClvr is software for digital record-keeping and tax preparation workflows. It does not provide regulated tax advice.

1. Acceptance of these Terms

By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Services.

3. Eligibility and accounts

  • You must be at least 18 years old and able to form a binding contract.
  • You are responsible for maintaining the confidentiality of your account credentials.
  • You must provide accurate information when creating and maintaining your account.
  • We may suspend or terminate access where there is a breach of these Terms or misuse of the Services.

4. Using the Services

The Services allow users to maintain digital records, create sales invoices, record purchases/expenses, import data (e.g., Excel/CSV), connect supported bank feeds, and prepare tax information and calculations.

You are responsible for the completeness and accuracy of data entered or imported into the Services and for checking outputs before relying on them for filings or financial decisions.

5. Subscriptions, billing, and payments

Some features may require a paid subscription. Fees and billing cycles are described on our pricing pages or within the Services.

  • By selecting a plan, you agree to pay all applicable fees and taxes.
  • Payments are processed by third-party payment providers.
  • Unless required by law, fees are non-refundable.
  • We may change pricing with notice in accordance with applicable law and your subscription terms.

6. Acceptable use

  • Do not use the Services for illegal, fraudulent, or harmful activity.
  • Do not attempt to gain unauthorised access to systems or data.
  • Do not upload malware, exploit code, or harmful content.
  • Do not interfere with the operation or security of the Services.
  • Do not reverse-engineer, decompile, or attempt to extract source code except as permitted by law.

7. Data protection

We process personal data in accordance with our Privacy Policy. You agree that we may process data as described there in order to provide the Services.

8. Availability and changes

We aim to provide reliable access to the Services, but we do not guarantee uninterrupted availability. We may update, modify, suspend, or discontinue parts of the Services to improve functionality, security, or compliance.

9. Intellectual property

The Services and all associated intellectual property (including software, text, design, logos, and trademarks) are owned by WebClvr Limited or its licensors. Except as expressly permitted, you may not copy, modify, distribute, sell, or lease any part of the Services.

10. Disclaimers

TaxClvr provides software tools and calculated outputs based on the information you provide. Outputs may be estimates and may not reflect your final tax liability.

You remain responsible for ensuring your records and any filings are accurate and compliant with HMRC rules. If you are unsure, you should consult a qualified accountant or tax adviser.

11. Limitation of liability

To the fullest extent permitted by law, WebClvr Limited shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, data, or goodwill. Our total liability in connection with the Services is limited to the fees paid by you for the Services in the 12 months immediately preceding the event giving rise to the claim.

12. Indemnity

You agree to indemnify and hold WebClvr Limited harmless from claims, liabilities, damages, and expenses (including reasonable legal fees) arising from your use of the Services or breach of these Terms.

13. Termination

We may suspend or terminate your access to the Services if you breach these Terms or if your use poses a security, legal, or operational risk. You may stop using the Services at any time.

14. Governing law

These Terms are governed by the laws of England & Wales. The courts of England & Wales have exclusive jurisdiction over disputes arising from these Terms or the Services.
